Employee Stock Ownership Plan

Our Employee Stock Ownership Plan is actually a benefit plan that allows company employees to obtain ownership interest in the company. ESOP as a long-term incentive program was first implemented by Infobip in 2017. Infobip always wanted to share the company's success and future with employees by giving them a part of ownership in Infobip, since they were the ones who have invested their knowledge, experience and trust in the company's success and growth.

How does ESOP work

ESOP used to be an exclusive benefit for a limited number of employees that demonstrated dedication, individual excellence and are considered to be key to Infobip's further growth.

From October 2021 all existing and new employees are granted a conditional option right to purchase shares in the Company for an exercise price defined by the Management. So, once the IPO happened, if the value of the stock is higher than the one on the option, the option owner can exercise the option and profit for the difference between the real value and exercise price (minus applicable tax). If the value is lower, the option owner simply does not need to exercise the option.

Besides the basic ESOP package each employee gets when joining the company, we still keep our principles of rewarding the best performers and people who contribute the most. That means that there is a possibility to get an additional ESOP package based on your performance and recognition in the company.

What can your options be worth

Let's break it down. Once Infobip becomes a listed company each share will be worth a share price on the Stock Exchange market. The potential gain is the difference between the share price on the Stock Exchange market and the price Infobip offered you on your certificate.

For example:

  • You got a share price at 30EUR.

  • The price on the Stock Exchange market is 148 EUR.

  • Your gain is 148 - 30 = 118 EUR per share before tax.

Annual Company Bonus

The annual company bonus in Infobip is another way to say thanks for contributing to company success in the past year. It depends on the overall company success and individual contribution for the year in question and it is usually received in March or April. All employees get a bonus, but not all employees get the same bonus. One of the main principles that guide us when it comes to recognition is to reward our exceptional and most engaged engineers the most.

Who gets the bonus?

To be eligible to receive bonus for year X, you must have been an employee on December 31 of year X and you must be on the payroll of Infobip when the bonus payment occurs.

What if you join in year X, but you haven't been there for the whole year?

You still get a bonus! More precisely - you get a prorated bonus amount based on your start date.
